Business Ethics and Anti-Corruption Policy

We conduct our business honestly, transparently and lawfully; there is no place for bribery or corruption in any form.

Purpose

This policy sets out the ethical rules Çelik İnşaat follows in its business relationships and its commitment to fighting bribery and corruption. Permits, inspections, tenders, procurement, progress payments and sales are areas of high corruption risk; our rules in these areas are clear and allow no exceptions.

Scope

Partners, managers and all employees; consultants, representatives and intermediaries acting on behalf of the company. We expect our suppliers and subcontractors to follow the principles of this policy.

Our principles

11 principles
  1. 01

    Compliance with the law

We comply with the laws of every country in which we operate. In Türkiye, bribery, bid rigging and influence peddling are crimes; we do not accept any conduct that could lead to these crimes as a business necessity or local custom.

  2. 02

    Prohibition of bribery and corruption

We do not offer, give, solicit or accept money, gifts, jobs, services or any other benefit, directly or through intermediaries, to or from public officials or people in the private sector in order to influence a decision. Small payments made to speed up a transaction are also covered by this prohibition.

  3. 03

    Gifts and hospitality

Transparent gifts and hospitality of reasonable value that remain within ordinary business courtesy may be accepted; cash and cash equivalents are never accepted. Gifts offered immediately before or after a decision are declined.

  4. 04

    Conflicts of interest

Our employees disclose in advance any situation in which their personal interests may conflict with those of the company (relatives working for a supplier or competitor, a stake in a supplier, outside business relationships) and withdraw from related decisions.

  5. 05

    Fair competition

We do not collude with competitors in tenders or share price, bid or market information. We comply with competition law and give our clients accurate and comparable bids.

  6. 06

    Accurate records

Quantities, progress payments, accounting records, test reports and information submitted to management are complete and accurate. We do not issue false, incomplete or misleading documents, and we do not make or keep off-the-books payments or accounts.

  7. 07

    Company assets and information

We use company assets, our clients’ information and trade secrets for business purposes only; we do not use information for personal gain or share it without authorization.

  8. 08

    Business partners

We select suppliers, subcontractors, consultants and intermediaries on merit and against transparent criteria; we assess intermediaries who will deal with third parties on the company’s behalf in advance and bind them by contract.

  9. 09

    Donations, sponsorship and political contributions

We make no contributions to political parties, candidates or campaigns on behalf of the company. We make donations and sponsorships only in a transparent and documented manner, and never use them to influence a business decision.

  10. 10

    Combating money laundering

We do not accept payments of unclear origin, and we question unusual payment requests (third-party accounts, split cash payments).

  11. 11

    Reporting and non-retaliation

Employees who suspect a breach of this policy may report it to their managers or directly to the Executive Committee; business partners and third parties may report it to our company in writing. Reports are handled confidentially; no one who reports in good faith will suffer adverse treatment as a result.

Responsibilities

Managers apply this policy through their own example, explain it to their teams and take reports seriously. Every employee is required to know and apply the policy and to report suspicious situations. Breaches lead to disciplinary action, to termination of the contract in the case of business partners and, where necessary, to notification of the competent authorities.

Implementation and review

This policy is communicated to our employees and applied in our procurement, sales and progress payment processes. The Executive Committee evaluates reports.
